Terms of Service

1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your access to and use of the LawOffice AI Microsoft Word add-in, our website, and related services (collectively, the “Service”). By installing, accessing, or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

2. The Service

LawOffice AI provides a Microsoft Word add-in that may transmit document content to cloud-based systems to perform functions requested by the user. Depending on the features you use, the Service may:

• Transmit document content to our servers over encrypted connections
• Store document content temporarily or for a limited period
• Process document content using automated systems, including AI (if enabled)

Our Privacy Policy explains how we collect and handle data. By using the Service, you also agree to our Privacy Policy.

3. HIPAA; Business Associate Agreement

We maintain safeguards intended to support compliance with the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations (“HIPAA”), where applicable. If you are a Covered Entity or Business Associate under HIPAA and you plan to use the Service with Protected Health Information (“PHI”), you are responsible for ensuring that your use of the Service complies with HIPAA and other applicable laws.

Where required, we can provide (or may require) a Business Associate Agreement (“BAA”). To request a BAA, contact us at support@lawoffice.ai.

If you process PHI using AI-enabled features, we maintain a HIPAA-compliant BAA with our AI provider(s) for HIPAA-regulated processing, where applicable.

4. Eligibility and Accounts

You must be at least 18 years old to use the Service. If you create an account, you agree to provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

5. Customer Content and Permissions

5.1 Your Responsibilities

You represent and warrant that you have all necessary rights and permissions to submit any content you upload, transmit, or process through the Service (“Customer Content”), including document content and any PHI.

5.2 Ownership

You retain ownership of your Customer Content. We do not claim ownership of your documents.

5.3 Limited License to Operate the Service

You grant LawOffice AI a limited, non-exclusive, worldwide license to host, store, transmit, and process Customer Content solely to provide and improve the Service, enforce these Terms, and comply with applicable law.

6. AI Features; No Training; Zero Data Retention

If the Service provides AI-assisted features, you understand and agree that:

• No training on your data: We do not use Customer Content to train AI models, and we do not permit our AI provider(s) to train on Customer Content submitted through the Service.
• Zero data retention for AI: We maintain a zero data retention policy for AI processing. Content submitted for AI processing is not retained by the AI provider after the request is completed, subject to limited transient processing required to deliver the output and to comply with law.
• HIPAA-aligned AI processing: Where applicable, AI processing is performed under a HIPAA-compliant Business Associate Agreement (“BAA”) with our AI provider(s).

7. AI Output Disclaimer (Important)

AI-generated content may be inaccurate, incomplete, or not suitable for your specific needs. You are responsible for reviewing and validating any output before relying on it. The Service does not provide legal advice and is not a substitute for advice from a qualified attorney or other professional.

8. Acceptable Use

You agree not to:

• Use the Service for unlawful, harmful, or fraudulent purposes
• Upload malware or attempt to disrupt the Service
• Attempt to access other users’ data or systems without authorization
• Reverse engineer, decompile, or attempt to derive source code except where prohibited by law
• Use the Service to violate confidentiality obligations or applicable regulations

9. Security and Availability

We use reasonable safeguards designed to protect the Service and Customer Content. However, no system can be guaranteed to be 100% secure, and the Service is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation.

10. Fees and Payments (If Applicable)

If you purchase a paid plan, you agree to pay the applicable fees and taxes. Payment processing is handled by third-party payment providers. Subscription terms, renewals, and refunds (if any) will be described at checkout or in your account settings.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or to protect the security and integrity of the Service.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAWOFFICE AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAWOFFICE AI’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO LAWOFFICE AI FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU HAVE NOT PAID ANY AMOUNTS, WHICHEVER IS GREATER.

14. Governing Law

These Terms are governed by the laws of Arizona, USA, without regard to conflict of law principles. You agree to the exclusive jurisdiction and venue of the courts located in Maricopa County, Arizona for any dispute arising out of or relating to these Terms or the Service.

15. Changes to These Terms

We may update these Terms from time to time. We will post updates on this page and update the “Last Updated” date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
